EXCLUSIVE DEALING AGREEMENT
MANUFACTURER AND DISTRIBUTOR-Type 2
Exclusive dealing agreement made [Date of agreement], between [Name of Seller], a corporation organized and established under the laws of [State of Seller], having its principal place of business at [Address of Seller], [City of Seller], [State of Seller], in this agreement referred to as seller, and [Name of Dealer], of [Address of Dealer], [City of Dealer], [State of Dealer], in this agreement referred to as dealer.
SECTION ONE - EXCLUSIVE DISTRIBUTORSHIP
Seller hereby grants to dealer a sole and exclusive distributorship to sell the following products manufactured by seller: [Description of products].
SECTION TWO - TERRITORY
The exclusive distributorship shall cover the following territory: [Description of territory].
Dealer agrees that dealer will not sell any of sellers products in any other territory without the prior written consent of seller or the exclusive distributor in whose territory the sale is contemplated.
SECTION THREE - QUANTITY
Dealer shall purchase each month beginning [Date of purchase], a minimum of [Minimum unit purchase of each product covered by the agreement]. On dealers failure to make such minimum purchase, seller may terminate this contract within [Days to terminate] days.
SECTION FOUR - PRICE
Dealer agrees to pay [Dollar price per unit for each product covered by the agreement], and shall pay seller net cash days from receipt of sellers invoice or shall be entitled to a [Percent discount] % percent discount for payment within days from receipt of sellers invoice.
SECTION FIVE - DELIVERY
Seller shall deliver the goods F.O.B. [Seller's city] via [Name of carrier].
SECTION SIX - DEALERS WARRANTIES
Dealer warrants and agrees as follows:
A. Dealer shall maintain an adequate display area for sellers products, including, but not limited to, use of such advertising material as seller may, at sellers option, require to be displayed.
B. Dealer will promote sellers product in any other manner deemed necessary.
C. Dealer will not sell products of a similar nature manufactured by the competitors of seller, including, but not limited to, the following corporations or other entities: [Corporations excluded].
D. [Any other warranties agreed to by the parties].
SECTION SEVEN - BEST EFFORTS
A. Seller agrees to exert sellers best efforts to supply dealers needs for the above-specified products as provided in this contract.
B. Dealer agrees to exert dealers best efforts to promote the sale of the above-specified products in the indicated area for the term of this contract.
SECTION EIGHT - TERM
This contract shall be effective for [specify number of months or years] from the date first mentioned above.
SECTION NINE - TERMINATION
Either party may terminate this contract on days written notice to the other party.
SECTION TEN - GOVERNING LAW
